Restriction Governing Mortgage Law: Under the Azerbaijani International Private Law, in rem rights in transport means must be determined in accordance with laws where the transport means are registered. Law applicable to a mortgage agreement can be chosen by the parties to it. Otherwise, the law of the mortgagor shall apply subject to the conflicts of law rules.
Registration/recordation of security interests for foreign-registered aircraft is not required under the Azerbaijani aviation laws. Under the Aviation Law, information about the aircraft (other than a foreign-registered aircraft) mortgage is entered into the aircraft registry.
Priority Notice: Pursuant to sub-section 748-1.12 of the Civil Code, the lessor is entitled to repossess the object of a lease and take the funds back unconditionally and terminate the lease if:
(i) Lessee’s use of the lease object does not comply with the terms of lease and contradicts the designation of the lease object
(ii) Lessee subleases the lease object without the lessor’s consent
(iii) Lessee fails to maintain the lease object in appropriate condition, thereby deteriorating its operation features
(iv) Lessee fails to make payments under the lease more than two consecutive times.

Maximum Age: The design economic life / design service goal / design service objective of an aircraft’s life is 20 years and / or 60,000 landings / pressurisation cycles for the jet aircraft. This is to en-sure that the aircraft does not have any problems of corrosion, fatigue, metal fatigue or cracks.
Aircraft Type Certificate: It is allotted to indicate the airworthiness of an aircraft manufacturing design. The certificate reproduces a determination made by the regulating body that the aircraft is manufactured according to a design which has been approved, and that the design ensures compliance with airworthiness requirements. So, this certificate can only be issued by the manufacturer of the aircraft. Bangladesh has not manufactured aircraft, so it cannot issue Aircraft Type Certificates as of today. However, it issues approval of the aircraft which has received Aircraft Type Certificates from its manufacturer so that it can be used in Bangladesh.
Typical Structure: As per CAAB, a typical structure of aircrafts has not been defined. The structure will vary as per the use of the aircraft and so mentioning the details of a typical structure is inappropriate in the given context.
Operation
Private Use: In Bangladesh, the operations of aircrafts are divided as commercial air transport, aerial work, and any other aviation operation, which is referred to as general aviation operation.
General aviation operation is transportation for personal or corporate use where payment or promise of payment is made to the operator or owner of the aircraft / helicopter in respect of that flight. It is an on-demand carriage of persons and / or goods on payment or promise of payment by a commercial operator not as a scheduled or non-scheduled air carrier.
Commercial Air Transport: This is a type of aviation operation by an operator in which an aircraft or helicopter is used for scheduled air services or non-scheduled air services. It involves:
(1) The carriage of passengers or cargo in the aircraft / helicopter in return for payment or the promise of payment to the operator of the aircraft / helicopter in respect of that flight
(2) The carriage of persons other than persons employed by the operator as aircraft / helicopter crew members, where payment or promise of payment is made to the operator or the owner of the aircraft / helicopter in respect of that flight, except that if the purpose of the flight is flight instruction and the payment or promise of payment is made in respect of that instruction, the flight shall be regarded as general aviation operation.

Restriction Governing Mortgage Law: As per the Civil Aviation Authority, Bangladesh, there are no specific restrictions imposed on mortgage. However, conditions may be imposed by financial institutions as per their bank policies. Also, as the governing law to determine the contractual aspects of the aircraft mortgage is the law of the contract, therefore, the parties are required to show that the law was agreed upon by the contracting parties, that it does not suffer from illegality, and that it is not against any public policy of Bangladesh.

Public Registration: In Bangladesh, CAAB has one specific registration procedure and that is given below. To register an aircraft, an application for the registration has to be made in the specified form to the chairman of the CAAB, by or on behalf of a qualified person who is the owner of the aircraft; or, where the aircraft is the subject of a contract of hire or charter (including a hire- purchase agreement) the effect of which is that the control, maintenance and operation of the aircraft is, or is to be, vested in a party to the contract, that party.
A ‘qualified person’ includes a citizen of Bangladesh or a body corporate established under any Bangladesh law for the time being in force; or a company registered in Bangladesh and carrying on business in Bangladesh; or a company registered elsewhere than in Bangladesh but having its principal place of business in Bangladesh, having as its chairman a citizen of Bangladesh; or a foreign company that has secured business or a contract in Bangladesh from the government that such business or contract is not, in the opinion of the chairman, likely to be completed in less than six months.
When an aircraft is registered in the register of Bangladesh aircraft, the chairman shall issue a certificate of registration in the form adopted in pursuance of the convention in respect of the aircraft to a qualified person.
Deregistration Power of Attorney: For any aircraft from Bangladesh, as well as from abroad, all the relevant documents including a document of deregistration of power of attorney must be submitted to the CAAB authority during registration of the aircraft in Bangladesh.
Cape Town: As of December 15th 2008, Bangladesh has ratified the Aircraft Protocol in the Cape Town Convention. However, as per Civil Aviation Authority, Bangladesh, the Protocol to the Cape Town Convention on matters specific to aircraft equipment is still not in force.

However, for aircraft 20 years and older, before a Registration Application is submitted for CAACI acceptance, applicants within this category are requested to enquire with regards to the suitability of the aircraft to the CIAR. The enquiry should be sent to the Director of Air Safety Regulation at [email protected]. The following details of the aircraft should be provided in the enquiry: its designation, year of manufacture, TCDS compliance, current State of Register, overview of operating history and details of any modifications incorporated required to comply with current certification and operating requirements. Each aircraft will be considered on a case-by-case basis.
Aircraft Type Certificate: The CAACI accepts and validates a certification approval granted by the Authority of the State of Design. For aircraft type certificates issued by the EASA, TCCA, or FAA, the CAACI accepts that they comply with the basic requirements of the required airworthiness standards.

If an intended mortgage has not yet been finalised or the aircraft is not yet registered, a priority notice can be filed with the CAACI to secure the order of priority of the mortgage should there be another mortgagee intending to register a mortgage. A priority notice is effective for 14 days and can be renewed indefinitely but there is a charge of CI$250 at each renewal [sec 9 (2)(a) of Air Nav (Fees) Regulations, 2010]. To request a registration of a priority notice, a Priority Notice Application should be completed and sent by email to [email protected]. It is not necessary to include any final mortgage documents with the priority notice application, but a draft of the mortgage deed should be sent to crosscheck the particulars.

Cape Town & Deregistration power of attorney: After the UK ratification of Cape Town effective November 1, 2015 and its extension to the Cayman Islands, The Cayman Islands Government along with the Civil Aviation Authority of the Cayman Islands announced the enactment of The International Interests in Mobile Equipment (Cape Town Convention) Law, 2015, which brings the Cape Town Convention into force in the Cayman Islands effective 1 November 2015 and, consequently, the Cayman Islands will have international recognition under the Cape Town Convention.
Accordingly, relevant filings such as the Irrevocable Deregistration and Export Request Authorisation (IDERA) and the Deregistration Power of Attorney can now legally be filed with the Cayman Islands Aircraft Register under the Cape Town Protocol. Such filings are to be notarised and carry a fee of CI$250/US$304.88.

Mortgage Possible? Yes, an aircraft registered in Finland can be mortgaged and used as collateral to a debt. The debt instruments used for aircraft mortgages are commonly bearer bonds, which are used a security. Confirmation of an aircraft mortgage must be applied for in writing using the form intended for the purpose. The mortgage may be applied for by the owner of the aircraft or by the creditor. If the creditor is applying for the mortgage, written acceptance from the owner is required.
The mortgage application must uniquely identify the mortgage object and the monetary receivable(s) for the collateral of which the mortgage is confirmed. The application must include the capital amount, interest and any renewal and recovery fees. A confirmed aircraft mortgage remains valid for 10 years from the date of confirmation unless it is separately discharged. A valid aircraft mortgage can also be renewed, with the mortgage remaining valid for ten years from the date of renewal.
Restriction Governing Mortgage Law: To be valid, mortgaging of an aircraft has to be conducted and registered in accordance with the Finnish provisions on aircraft mortgages, laid down in the Act on Aircraft Mortgages (211/1928, as amended) and the Vessel Mortgage Act (211/1927, as amended). A mortgage registered in another country is not valid in Finland.

Operation
Private Use: Yes. Private flights operate at a lower required safety standard than Commercial Air Transport (“CAT”), and there is no requirement for an air operator certificate, which is required for commercial operations. The aircraft owner and/or pilot-in-command must assume the entire responsibility for the safety of these private flights.
It is important to note that it is strictly forbidden for a private flight to operate for any form of payment, it is permissible in certain circumstances for passengers and the pilot to ‘share’ certain costs relating to a specific private flight unless pilots and passengers stick to the rules, cost-sharing is permissible in the following circumstances:
1. The flight is conducted in a ‘non-complex’ light aeroplane or helicopter in accordance with the applicable rules for non-commercial operations, subject to the EASA Regulation;
2. The cost is shared by all the individuals on the flight including the pilot;
3. Only the direct costs associated with any particular flight may be shared (e.g. fuel, airfield charges, rental fee for an aircraft).
4. Other costs associated with the aircraft operation, e.g. the cost of keeping, maintaining, insuring, and operating the aircraft may not be factored into a cost sharing flight;
5. It is not permissible to pay the pilot or any other extraneous costs not directly associated with the private flight; and
6. The number of persons sharing the direct costs of a specific private flight is strictly limited to a maximum of six persons.
The pilot must conduct the flight in accordance with the applicable regulation for non-commercial flights with light aircraft.
It is also the pilot’s responsibility to ensure that the flight is appropriately insured, although passengers may want to check that any personal life, accident and/or health insurance they have is valid when undertaking a private flight.
Passengers should also be aware that the pilot may amend or cancel the flight for any reason, including at short notice. The pilot also has a duty not to undertake the flight if the flight conditions are not suitable.
The pilot must contribute to the direct costs of the flight that s/he is conducting, and the pilot must make it clear that all participants in the flight are engaged in a private arrangement that is not conducted in accordance with CAT requirements.
Commercial Air Transport: Yes, An aircraft operator involved in commercial air transport must be the holder of a valid Air Operator Certificate (“AOC”) and a valid Air Carrier Operating Licence (“ACOL”) issued by the IAA to operate commercial flights in and from Ireland, regardless for the commercial carrier having cargo or passengers on board. All European Economic Area (“EEA”) operators who have a license issued in compliance with the Air Service Regulation have automatic traffic rights to operate to and from Ireland if the journey is within EEA.
The issue of an AOC and ACOL authorises an operator to conduct commercial air transport operations in accordance with such conditions and limitations as may be prescribed for that aircraft operator.
To obtain an AOC and ACOL an operator must complete a thorough process to satisfy the authority that they are competent to secure the safe operation of aircraft. They are subject to rigorous oversight by the Irish Aviation Authority and are audited regularly for competence and adequacy of resources in areas such as management and organisational structure, crew training, aircraft maintenance, flight planning and support, including many other areas.
The registered owner is responsible for ensuring that:
• The aircraft is maintained in an airworthy condition;
• Any operational and emergency equipment fitted is correctly installed and serviceable;
• The Airworthiness Review Certificate remains valid;
The maintenance of the aircraft is performed in accordance with the Aircraft Maintenance Programme (“AMP”). The owner may contract the tasks associated with the continuing airworthiness (e.g., maintenance planning) to a Continuing Airworthiness Management Organisation (“CAMO”) or Combined Airworthiness Organisation (“CAO”). In this case, the CAMO/CAO assumes responsibility for the proper accomplishment of the contracted tasks.
Finance
Mortgage Possible? Yes. Both individuals and business entities can create a legal or equitable mortgage over an engine or aircraft. It is customary where the mortgager is an Irish-registered company for a mortgage to be filed using a Form C1 with the Company Registrations Office in Ireland (“CRO”) to be recorded as a charge, this Form C1 must be filed within 21 days of creation of the charge. A mortgage may be registered with the Central Office of the High Court, in case where the mortgagor is an individual or a partnership. The IAA developed its own system on April 8th, 2022, to record mortgages, charges, or liens over aircraft that are registered with the IAA. The IAA must receive a Form G17 to register a mortgage or charge on its system. A security interest created by a company is released or discharged upon the execution and dating of the applicable release deed or release agreement, and the release or discharge becomes effective at this point. Discharges are made with the CRO by submitting a Form C6, evidencing fulfilment of the secured debt. The filing of a Form C6 in respect of such a release or discharge will appear on Irish company searches within a few weeks of filing the Form C6 (this is an administrative matter for the CRO). There is no time limit on when a Form C6 is to be
filed in respect of a release or discharge of a mortgage, and it does not have an impact on the release of the charge/lien. The mortgage can also be registered with the International Registry under the Cape Town Convention provided connecting factors are met.

An irrevocable deregistration and export request authorisation (“IDERA”) has to be lodged with the IAA, the authorised party specified can procure the deregistration of the aircraft. An aircraft owner, mortgagee or lessor can apply for the deregistration of the aircraft without the lessee's or operator's consent where an IDERA has been filed. The aircraft does not need to be in Ireland at the time of deregistration and/or export. To take an aircraft outside Ireland, an Export Certificate of Airworthiness in respect of Aircraft may be required from the IAA.
The registered owner of the aircraft must complete a Form G17 as notification of charge and submit, along with the fee for submission, to the IAA. The IAA notification of charge form grants a DPOA in favour of the mortgagee/chargee.
To deregister an aircraft, one must submit;
1. A formal in writing, including the complete description of the aircraft, registration marks, make, model and serial number. This letter must be signed by the following:
2. If the registered owner is an individual, the individual signs the request;
3. If the registered owner is more than one individual, all individuals must sign (or send separate letters); and
4. If the registered owner is a company, the letter must be signed by a current director of the company or the current company secretary (as per the current CRO print-out);
5. Proof that the aircraft's nameplate/fireproof plate has been removed;
6. Proof that the registration marks have been removed from the aircraft;
7. Proof that the aircraft's Irish Mode S code has been negated (if applicable);
8. Proof that the aircraft's Irish emergency locator transmitter (ELT) code has been negated (if applicable);
9. If the aircraft is on an Irish Air Operator Certificate (AOC), it must be removed from the AOC prior to deregistration;
10. All fees outstanding must be paid in full for the aircraft; and
11. If the aircraft has an IDERA lodged against it, the IDERA must first be removed.
In addition to the self-help remedy under Irish law, the owner will have the remedies available to it under the Cape Town Convention, including taking possession of the aircraft without a court order and deregistering and exporting an aircraft by exercising its rights under an IDERA.
However, it should be noted that, in most cases, the aircraft will not be located in Ireland, and the lease is likely to be governed by English or New York law. The effectiveness of these actions will, therefore, be determined by general principles of enforceability under the governing law of the lease and in the jurisdiction in which the aircraft is located.

TMCAD is the competent authority responsible in Malta that is charged with the National Aircraft Registry. The National Aircraft Registry uses a single registry system and as explained further below is an operator registry. Most notably, Malta has also ratified the Cape Town Convention on October 1st 2010 and the Convention came into force in Malta on February 1st 2011. The Cape Town Convention has been implemented into Maltese law in the First Schedule to the Aircraft Registration Act (Cap. 503 of the laws of Malta) (the ‘ARA’ and/or the ‘Act’).

Weight Restrictions: In terms of weight restrictions for the purposes of registration, under the First Schedule of the ARA (The Implementing Law in Respect Of The Cape Town Convention On International Interests In Mobile Equipment And The Aircraft Protocol Thereto) “airframes” means airframes (other than those used in military, customs and police services) that, when appropriate aircraft engines are installed thereon, are type certified by the competent aviation authority to transport: (i) at least eight persons including crew; or (ii) goods in excess of 2750kgms, together with all installed, incorporated or attached accessories, parts and equipment (other than aircraft engines), and all data, manuals and records relating thereto.
Moreover, the Fifth Schedule of the Act identifies the fees that are payable to the Director General for the issue of a Certificate of Registration in respect of an aircraft depending on the below:
(i) Aeroplanes having an empty weight not exceeding 150kg, a wing area of not less than 10sqms, and a wing loading not exceeding 10kg per sqm at empty weight and which are designed to carry not more than two persons ...... €60

Aircraft Type Certificate: The Aircraft Register of Malta is an operator’s register. However, an owner can register an aircraft in Malta in the event that the aircraft is not being temporarily operated or else the owner and the operator are the same entity.
The Director General shall furnish to the person in whose name the aircraft is registered a certificate of registration which is not transferable, and shall include name and address of the registrant, the name, address and ownership interests or title of the owner, if different, and the date of issue of such certificate.
Operation
As explained above, the National Aircraft Registry is operator’s register and therefore it is usually the operator who registers the aircraft in the National Aircraft Registry unless the aircraft is still under construction or temporarily not being operated.
In this respect there are some limitations as to who can register the aircraft, and the ARA provides that the following persons shall be qualified to register any aircraft (whether it is used to provide air services or otherwise) in the National Aircraft Registry:
(i) The Government of Malta;
(ii) A citizen of Malta or a citizen of a Member State of the European Union or of an EEA State or Switzerland, having a place of residence or business in Malta, the European Union, the EAA or Switzerland;
(iii) An undertaking formed and existing in accordance with the laws of Malta, of a Member State of the European Union, of an EEA State or of Switzerland and having its registered office, central administration and principal place of business within Malta, or the European Union, or the EEA or Switzerland, whereof not less than 50% of the undertaking is owned and effectively controlled by the Government of Malta, or by any Member State of the EU, or by persons referred to in paragraph (ii) above, whether directly or indirectly through one or more intermediate undertakings;
(iv) A natural person who is a citizen of, or an undertaking established in an approved jurisdiction, other than those mentioned in paragraphs (ii) and (iii), shall be qualified to register aircraft in construction or one which is not used to provide air services if it complies with a number of requirements as imposed by the Director General.
Furthermore, the registrants of the aircraft as mentioned above, should do so in one of the following capacities:
(i) An owner of the aircraft who operates the said aircraft; or
(ii) An owner of an aircraft under construction or temporarily not being operated or managed; or
(iii) An operator of an aircraft under a temporary title which satisfies the conditions which may be prescribed; or
(iv) A buyer of an aircraft under a conditional sale or title reservation or similar agreement which satisfies the conditions which may be prescribed and who is authorised thereunder to operate the aircraft.
Private Use: It is possible for an aircraft which is not used for public purposes but for private purposes to be registered in Malta. In this case there will not be the need for an Air Operator’s Certificate in order to operate the aircraft.
Commercial Air Transport: An aircraft in flight shall be deemed to fly for the purpose of public transport (i) If hire or reward is given or promised for the carriage of passengers or cargo in the aircraft on that flight; or (ii) If any passengers or cargo are carried gratuitously in the aircraft on that flight by an air transport undertaking, not being persons in the employment of the undertaking (including, in the case of an association of persons, its directors), persons with the authority of the Director either making an inspection or witnessing any training, practice or test for any purpose whatsoever, or cargo intended to be used by any such passengers as aforesaid, or by the undertaking. In order to operate a commercial flight, the operator of the aircraft would need to be in possession of an Air Operator’s Certificate in line with Regulation (EC) No. 1008/2008 of the European Parliament and of the Council of 24 September, 2008, on common rules for the operation of air services in the Community.
Finance
Mortgage Possible? Aircraft purchases are typically financed through either:
- A direct bank loan to the aircraft owner, secured by a mortgage; or
- A finance lease.
In a bank loan scenario, the bank provides the required finance and in return takes a mortgage over the aircraft purchased by the borrower. Aircraft mortgages are the main type of encumbrances taken over an aircraft in Malta. Aircraft mortgages are provided on a statutory form that will typically refer to the underlying documents giving rise to the secured obligations.
In a finance lease scenario, the owner of the aircraft (or a financing entity that has acquired the aircraft) leases the aircraft to the lessee for a specified period of time. At the end of the lease the lessee can acquire the aircraft at a specified price. However, many a time the security in such a scenario would also include an IDERA and DPOA each of which are explained further below.
Restriction Governing Mortgage Law: A mortgage is registered over an aircraft as a whole (and cannot therefore be registered over spare parts or engine separately). Therefore, an aircraft mortgage is considered to attach to:
- All data, manuals and technical records;
- The airframe, all equipment, machinery and other accessories belonging to the aircraft, which are on board or which have been temporarily removed from the aircraft;
- Any engines owned by the owner of the aircraft, whether attached to the aircraft or not and any replacement engines that are designated for use on the aircraft and owned by the owner of the aircraft, but temporarily not attached to the aircraft.
Kindly note that since the mortgage is registered in Malta over a Malta registered aircraft, then the Maltese mortgage will be regulated by the laws of Malta. Nonetheless, it is possible for the Maltese mortgage to also secure a foreign law mortgage and security agreement.
Other issues arise depending on the financing structure adopted and the entities that are financing the purchase of an aircraft. Restriction Governing Mortgage Law: There are no restrictions regarding the law governing a mortgage. The applicable law will usually be that which is expressly stipulated or impliedly agreed upon by the parties to the mortgage. Failing such agreement, the system of law with which the transaction has its closest and most real connection will be applicable.
Priority Notice: Not applicable. However, under Nigerian law, the registration of the mortgage will secure priority for the mortgagee over all unregistered and subsequently registered charges and interests. Consequently, the time and date of registration will be a decisive factor in determining priority.
Public Registration: The aircraft mortgage may be registered at the NCAA, as the NCAA is obliged to maintain a register of aircraft mortgages. A copy of the mortgage is kept in the Aircraft Register and the Certificate of Registration file. Any mortgage (or any other encumbrance) created over a Nigerian registered aircraft must be registered with the NCAA to constitute effective notice to third parties. The register for aircraft mortgages is different from the aircraft register.
Regarding the registration of an aircraft mortgage, the application must be in writing, addressed to the director-general of the NCAA accompanied by such particulars (that is duly stamped and endorsed deed of mortgage which shows the particulars of the aircraft such as the type, registration mark(s) and serial number, and proof of payment of the statutory fees) as the NCAA may require to determine whether registration should be permitted.
Deregistration Power of Attorney: Nigeria is a party to both the Cape Town Convention on International Interests in Mobile Equipment and the Protocol to the Convention on International Interests in Mobile Equipment on Matters Specific to Aircraft Equipment (‘Cape Town Convention and Aircraft Protocol’) and has lodged declarations accordingly. Consequently, the Irrevocable Deregistration and Export Request Authorisation (IDERA) is applicable.
Although, the NCAA shall deregister an aircraft if a holder of a valid deregistration power of attorney (DPoA) applies to the NCAA for deregistration, the IDERA supersedes a DPoA. Nevertheless, where a DPoA was obtained from the lessee before Nigeria became a party to the Cape Town Convention and the Aircraft Protocol, the DPoA will suffice. It is, however, advisable for the lessor to also obtain an IDERA.
It may be pertinent to add that, in practice, typically both the DPoA and IDERA are filed with the NCAA.

Maximum Age: The aircraft age/life limits as per the National Aviation Policy 2019 and the Air Navigation Order ANO-019-AWRG-3.0 dated 28 July 2022 are as follows:
(1) Regular Public Transport (“RPT”): the calendar age of all aircraft used as passenger transport for scheduled/non-scheduled passenger-carrying services, shall not be more than eighteen (18) years at the time of induction with minimum of 35% remaining operational life initially defined by the Original Equipment Manufacturer (“OEM”). The operational life expectancy shall be based on international standards considering limitations on maximum hours, flight cycles and chronological age etc. Operations would be permissible up to a maximum calendar age of twenty five (25) years.
(2) Pressurised Non-RPT Pax: For charter passenger, Tourism Promotion and Regional Integration (“TPRI”), aerial work passenger and private aircraft operations, the calendar age of all aircraft shall not be more than eighteen (18) years at the time of induction with minimum of 35% remaining operational life initially defined by OEM. Operations would be permissible up to a maximum calendar age / life cycles as defined by OEM subject to airworthiness.
(3) RPT/Non-RPT Cargo: For freighter / cargo aircraft, minimum of 35% remaining operational life would be required as initially given by OEM at the time of induction. Operations would be permissible up to a maximum calendar / life cycles as prescribed by the manufacturer of the aircraft provided the aircraft is airworthy.
(4) Unpressurised Charter (Pax.) Aerial Work & Flying School: For unpressurised aircraft being used for TPRI, Charter (Pax.), aerial work and flying school operations, the calendar age at the time of induction shall not be more than twenty five (25) years with 35% of operational life remaining OR minimum of 50% remaining operational life would be required as given by the OEM, at the time of induction. Operations would be permissible up to a maximum calendar age/ life cycles as prescribed by the manufacturer of the aircraft provided the aircraft is airworthy.
Aircraft Type Certificate1: PCAA only issues Type Certificate for aeroplanes having MTOW below 5700 Kg based on relevant airworthiness design standards being EASA CS 23 or US 14 CFR Part 23. PCAA does not issue individual type design approvals to aircraft engines/ propellers/ components/ parts/ appliances etc. All the aircraft engines/ propellers/ components/ parts/ appliances that are certified by FAA or EASA and intended to be installed/ utilized in PCAA type certified aircraft are acceptable to PCAA. There is generally no prohibition on type certificates for aircraft brought in to Pakistan provided they are issued by the Federal Aviation Administration and/or the European Union Aviation Safety Agency (EASA). A type acceptance certificate is issued by the PCAA on the basis of recognising the type certificate issued by another Contracting State and for the purpose of issuing a type acceptance certificate, a type certificate issued by a State of Design based on the certification basis that complies with the applicable standards of ICAO Annex 8 and Annex 16 to the Chicago Convention will be acceptable to PCAA. The compliance of a certification basis with the applicable ICAO standards will be established by the following airworthiness codes recognized as acceptable by PCAA: (i) design and environmental standards utilized by European Union Aviation Safety Agency (EASA) for issuance/ amendment of a type certificate, and (ii) design and environmental standards utilized by Federal Aviation Administration (FAA), USA for issuance/ validation/ amendment of a type certificate.

There are two systems of aircraft registration in the Republic of Panama. The Civil Aeronautics Authority (Autoridad Aeronáutica Civil) maintains an administrative registry of aircraft in Panama by means of the National Aeronautical Registry. In addition, there is an aeronautical section at the Public Registry Office, wherein all matters concerning the juridical status of aircraft are registered; namely proof of ownership, leases and encumbrances on aircraft etc to make them effective against third parties.

Mortgage Possible? Law No.21 of 2003 expressly contemplates the possibility of granting a mortgage over an aircraft as a whole or covering parts only its spare parts, and the Law on Mortgages on Movable Goods further allows the sale thereof with retention of title. Mortgages in respect of aircraft must be registered in the Aeronautical section of the Public Registry Office.
Restriction Governing Mortgage Law: There are no limits to the types of obligations that may be secured so long as these are lawful obligations, nor as to who may be a mortgagee.
Priority Notice: According to the Aeronautical Law, a credit secured by an aircraft mortgage will have priority over any other credit except for the national taxes that fall upon an aircraft.
Nonetheless, Panama has acceded to the 1948 Geneva Convention on International Recognition of Rights in Aircraft. This Convention imposes as compulsory liens the following:
(a) Indemnification for assistance to, or salvage of, the aircraft.
(b) Other expenses which are indispensable for the conservation of the aircraft. These liens have priority over all other liens or credits, including the aircraft mortgage.
Bearing in mind that ACC has the obligation to respect all international treaties and agreements to which Panama has acceded to, this clearly creates a conflict of laws which will have to be resolved by the Panamanian Judicial Branch once a case of this nature is presented.
Public Registration: A mortgage on an aircraft must be granted by public instrument in the Spanish language whenever the obligations secured are in excess of B./20,000.00 and must be registered at the Public Registry Office to affect third parties. Aircraft mortgages can also be filed at the National Aeronautical Registry. This filing, however, only serves as a notice to third parties. Thus, it will have no legal effects on the rights of the mortgagee. Apart from the registration of the mortgage as stated above no other registration or consents are required.

Mortgage Possible? Although the mortgage is used quite widely in Ukraine as a form of security, Ukrainian law does not stipulate any particular type of mortgage for aircraft. The Ukrainian law provides on possessory and non-possessory mortgages, while non-possessory aircraft mortgages are used in modern practice. The aircraft mortgage will automatically cover all accessories and spare parts unless it is expressly stipulated otherwise in the mortgage.
Restriction Governing Mortgage Law: The Ukrainian law on International Private Law, No.2709-IV dated June 22, 2005 (as amended) allows the parties to agree on any applicable law, including a foreign one, unless the aircraft is registered in Ukraine. The Ukrainian law shall govern the mortgage over registered in Ukraine aircraft. The mortgage over Ukrainian registered aircraft is valid if it is made in written and executed before a Ukrainian notary.
Priority Notice: The Law on Mortgage does not stipulate any cure period or obligation to submit a notification of the mortgagee’s default or register its notice of default in the Mortgage Registry. Nor does it lay down any requirements concerning the minimum content of the notice of default. Please refer to the website for more information.
Public Registration: A lien over an aircraft irrespective of whether the aircraft mortgage agreement is executed before the Ukrainian notary or abroad may be registered with the Mortgage Registry.
Deregistration Power of Attorney: The Ukrainian Aircraft Registry is held in the name of the owner. Correspondingly only the owner or its duly empowered representative may deregister the aircraft. Additionally, the lessor usually receives from a lessee an irrevocable deregistration power of attorney.
Cape Town: On November 1st 2012, the Convention on International Interests in Mobile Equipment (the Cape Town Convention) became effective for Ukraine. SAA was designated as an entry point for information related to registration of any security-type interests (created by or subject to security agreements, lease agreements, and title reservation agreements) relating to aircraft (the “International Interests”) or irrevocable deregistration authorisations (IDERAs) with the International Registry.
